Benchmark Ledger Solutions LLC is a profit first accounting firm based in West Michigan. We provide virtual bookkeeping, accounting support, business analysis and advisory services, and other financial services related to small business and nonprofits located in the United States. Benchmark Ledger Solution’s services include but are not limited to: transaction recording, account reconciliation, accounts payable and receivable management, financial reporting, financial statement preparation, budgeting and forecasting, notary and witness services in Michigan, KPI tracking, KPI dashboard and reporting, advisory consultations, educational and training workshops for both employees and business owners. All services are performed remotely unless otherwise agreed in writing on their client service agreement (CSA).
Client Responsibilities
By engaging in services with Benchmark Ledger Solutions, you are agreeing to provide accurate information, maintain account access, provide timely responses, stay complaint, and maintain security. You must supply truthful, complete, and current information necessary for the performance of services. You are responsible for granting timely access to your financial records, accounting platforms, or necessary credentials. Alternatively clients are responsible for providing timely bank and account statements for monthly accounting. You agree to respond promptly to information requests and maintain communication. You are responsible for your own compliance with tax, employment, financial and incorporation laws. You are responsible for safeguarding your own passwords, credentials, and files provided to Benchmark Ledger Solutions. We are not responsible for any errors, fees, or delays caused by inaccurate or incomplete information supplied by you.
Service Limitations
While Benchmark Ledger Solutions provides financial, budgeting, forecasting, incorporation, operational, and other professional guidance, we do not offer certified public accounting (CPA) services, auditing or attestation services, legal or tax filing representation, investment or securities advice. Our services are designed to assist with your accounting, analysis, and education, not replace professional tax or legal counsel.
Payment & Fees
All payments for services are due according to the terms specified in your client service agreement or invoice. We accept payments via bank transfers, credit card, debit card, or other approved electronic payment methods. Unpaid balances after due dates will incur a 5% late fee, compounded weekly, until paid in full. Benchmark Ledger Solutions reserves the right to suspend or terminate services for non-payment. All payments are final unless otherwise stated in writing. Refunds may be issued at our sole disclosure in cases of duplicate payments or errors.
Confidentiality & Data Security
Benchmark Ledger Solutions adheres to strict confidentiality and data protection standards on par with US National banks. All client financial records, documentation, and communications are maintained securely and used solely for service delivery through your client portal. Your client portal has encryption (AES-256) for data at rest and TLS for data in transit, and is SOC 2 Type II certified for security. We do not disclose or share client data with third parties except as required by law, court order, or government request, and to trusted third-party vendors assisting in service delivery.
Electronic Communication & Consent
By using our Services, you consent to receive communications from us electronically. Notices, agreements, and disclosures delivered electronically satisfy any legal requirements that such communications be in writing. Electronic signatures and agreements executed through our website, CRM, Anchor, SignWell, or email are legally binding under the E-SIGN Act and Michigan’s Uniform Electronic Transactions Act (MCL 450.831 et seq.).
Intellectual Property

To the fullest extent permitted by law, Benchmark Ledger Solutions LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, any loss of profits, revenue, data, or goodwill, and any errors resulting from incomplete or inaccurate information provided by you. Our total liability shall not exceed the amount paid by you for services during the three (3) months preceding the claim.

This shall apply even in the context of a Change in Control Transaction, where, as a result of weighing the interests set forth in subsection (a)(i)–(vii), a manager determines to accept an offer, between two competing offers, with a lower price per unit if it better supports the long-term mission and stakeholder interests of the Company.
Good Faith Business Judgment
A manager who makes a business judgment in good faith fulfills the duty under this section if the manager: i) is not interested in the subject of the business judgment; ii) is informed with respect to the subject of the business judgment to the extent the manager reasonably believes to be appropriate under the circumstances; and iii) rationally believes that the business judgment is in the best interests of the Company.
Referral Program
This Referral Agreement (“Agreement”) outlines the terms under which a Referrer may earn a referral reward from Benchmark Ledger Solutions LLC (“Company”). By participating in the referral program, the Referrer agrees to the terms below.
Eligibility to Refer
Any individual or business may refer potential clients to the Company.
Definition of Qualified Referral
A referral becomes a Qualified Referral when the referred person or business (“Referee”) meets all of the following conditions: i) The Referee complete their consultation and signs a Client Service Agreement (CSA); ii) The Referee enrolls in a full-service accounting contract; iii) The Referee remains an active paying client for a minimum of 3 full months. Once all 3 conditions are met the referral will be considered qualified for a reward.
Referral Reward Options
Once a referral is confirmed to be a qualified referral, the referrer will receive an email and may choose one of the following rewards.
Option A: Gift Card
A fifty-dollar ($50) gift card, selected from Amazon, Apple, MasterCard, Visa, or Walmart. This option is available to any Referrer, whether or not they are a current client of the Company.
Option B: Credit
A one-hundred-fifty-dollar ($150) service credit. This credit may only be issued to active Benchmark Ledger Solutions clients. The credit can be applied toward any bookkeeping or advisory service offered by the Company. Credits have no cash value and cannot be transferred or redeemed for cash.
Reward Issuance
Referral rewards are issued within ten business days after the Referee completes the three-month service period and the Company confirms payment compliance. The Company reserves the right to verify all information regarding the Referee and may decline a reward if fraud, misuse, or inaccurate information is suspected.
Limitations
Referrers may not earn rewards for referring their own business or any business they own in whole or in part. Only one Referrer may claim a reward for the same Referee. Rewards are issued per Qualified Referral with no cap unless otherwise stated by the Company.
Program Changes
Benchmark Ledger Solutions may update, modify, or discontinue the referral program at any time. Changes do not affect rewards already earned from confirmed Qualified Referrals. The most current version will always be available on our website.
Governing Law
This Agreement is governed by the laws of the United States of America State of Michigan.
Acceptance
Participation in the referral program signifies acceptance of all terms listed in this Agreement.
